Playwize plc has one class of shares outstanding, the Playwize plc Ordinary Shares, par value 1 pence. There are currently 190,283,753 Ordinary Shares outstanding. There are no restrictions on transfer on the Ordinary Shares. No shareholders hold 3% or more of the ordinary shares. There are no treasury shares outstanding.

Directors’ interests
Set out below are the beneficial interests of the directors and their immediate families in the Company’s ordinary shares as at 31 January 2008.

In addition to his holding above, Foo Katan (together with members of his family) is a potential beneficiary of a discretionary settlement which controls the issued share capital in I Robot Holdings Limited.  I Robot Holdings Limited holds 33,356,000 ordinary shares.  Foo Katan is not in a position by virtue of the discretionary settlement to exercise or cause the exercise, directly or indirectly, of voting rights for or against resolutions to be passed at shareholders’ meetings of the company.  Foo Katan is also interested in the 1,989,601 ordinary shares held by Chargegovern Limited, a company in which he is the sole director.  In addition, Foo Katan is the sole beneficiary of the Mikto Pension Scheme, a pension fund which holds 8,439,750 ordinary shares.
